Non-Compete Agreement

1. Parties

This Non-Compete Agreement ("Agreement") is entered into between MysticVerse ("Company") and you, the registered user ("User"), collectively referred to as "Parties." By creating an account and accepting during onboarding, you agree to be bound by this Agreement.

2. Scope of Non-Compete Obligation

During your account tenure and for a period specified in Section 3, the User agrees not to:

• Develop, launch, or operate a competing platform or service that directly replicates the core features of MysticVerse (multi-platform streaming, AI content generation, points/achievements, community engagement)
• Solicit or recruit MysticVerse creators, staff, or partners with the intent to build a competing service
• Reverse engineer, copy, or replicate the proprietary technology, algorithms, or business model of MysticVerse
• Use confidential or proprietary information obtained through MysticVerse to create a competing platform

3. Duration

This non-compete restriction applies:

• During Account Tenure: While the User maintains an active account on MysticVerse
• Post-Termination: For a period of one (1) year following account deletion, suspension, or voluntary closure
• For Creators/Partners: Extended to two (2) years for users with official creator status, sponsorship agreements, or exclusive content partnerships

4. Permitted Activities

Nothing in this Agreement prohibits the User from:

• Working for or with other general-purpose streaming, social media, or content creation platforms
• Creating content or content creation tools that do not directly replicate MysticVerse's core functionality
• Operating in related but distinct market segments (e.g., gaming platforms, video hosting, music streaming) that do not directly compete with MysticVerse
• Using general knowledge, skills, and experience gained during their time as a MysticVerse user

5. Reasonableness Standard

The User acknowledges that this non-compete restriction is reasonable in scope, duration, and geographic area based on:

• The proprietary nature of MysticVerse's technology and business model
• The legitimate interest of the Company in protecting its market position and user base
• The consideration provided to Users (free platform access, points, achievements, monetization opportunities)
• The global, online nature of the MysticVerse platform with no geographic restrictions

6. Enforcement & Remedies

The User acknowledges that any breach of this Agreement may cause irreparable harm to the Company that cannot be adequately remedied by monetary damages. The Company reserves the right to:

• Seek injunctive relief and preliminary injunctions to prevent competitive activity
• Pursue monetary damages, including lost profits and costs of enforcement
• Immediately suspend or permanently ban accounts found in violation
• Pursue legal action to enforce this Agreement

7. Cooperation & Disclosure

The User agrees to disclose any potential competitive activities that may conflict with this Agreement. If the User wishes to develop a product or service that may compete with MysticVerse, the User must:

• Notify the Company in writing at least 30 days in advance
• Provide a detailed description of the proposed product or service
• Allow the Company to review and respond with potential concerns
• Wait for explicit written permission from the Company before proceeding, if applicable

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in New York.

9. Acceptance

By registering an account on MysticVerse and acknowledging this Agreement during onboarding, the User confirms they have read, understood, and agreed to be bound by all terms set forth in this Non-Compete Agreement.
