Non-Disclosure Agreement

1. Parties

This Non-Disclosure Agreement ("Agreement") is entered into between MysticVerse ("Company") and you, the registered user ("User"), collectively referred to as "Parties." By creating an account and accepting during onboarding, you agree to be bound by this Agreement.

2. Confidential Information

"Confidential Information" means any non-public, proprietary, or sensitive information disclosed by the Company to the User in connection with their use of the MysticVerse platform, including but not limited to:

• Unreleased platform features, roadmaps, and product plans
• Internal tools, processes, and technical architecture
• Business strategies, partnerships, and financial information
• Creator program terms and exclusive campaign details
• Other user data or content shared in closed/beta environments

3. Obligations

The User agrees to:

• Keep all Confidential Information strictly private and not disclose it to any third party
• Use Confidential Information solely for the purpose of using the MysticVerse platform
• Notify the Company immediately upon discovering any unauthorized use or disclosure
• Not reverse engineer, copy, or reproduce any proprietary technology or content

4. Exclusions

This Agreement does not apply to information that:

• Is or becomes publicly available through no fault of the User
• Was already known to the User prior to disclosure
• Is independently developed by the User without reference to Confidential Information
• Is required to be disclosed by law or court order, provided the Company is notified in advance

5. Platform Content & Creator Data

Users accessing beta features, early releases, internal analytics dashboards, or creator monetization data acknowledge that such information is Confidential and may not be shared, published, or referenced externally without explicit written consent from MysticVerse.

6. Term

This Agreement remains in effect for the duration of the User's account and for a period of two (2) years following account termination or deletion, except where applicable law requires a longer period.

7. Remedies

The User acknowledges that any breach of this Agreement may cause irreparable harm to the Company, entitling the Company to seek injunctive relief and other legal remedies. The Company reserves the right to suspend or permanently ban accounts found in violation of this Agreement.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in New York.

9. Acceptance

By registering an account on MysticVerse and acknowledging this Agreement during onboarding, the User confirms they have read, understood, and agreed to be bound by all terms set forth in this Non-Disclosure Agreement.
